The ICT Community Portal is operated by ROOT Technologies. By accessing or using the present website you hereby represent and warrant having full capacity to act and enter into legally binding agreements and in the event you were acting on behalf of a corporate entity having right and authority to legally bind same, furthermore, you hereby unconditionally and irrevocably consent to be bound by these Terms of Use ("Terms of Use" or "Agreement"), whether or not you are a registered member of the ICT Community Portal. ROOT Technologies reserves the right, at its sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. In this case, ROOT Technologies will post the changes to these Terms of Use on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the ICT Community Portal after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use please contact us via email or fax with your instructions to remove your entries from the ICT Community Portal. We may not necessarily notify users individually or communicate directly to them any modifications of this Agreement; therefore, it is your responsibility to regularly check the ICT Community Portal to determine if there have been changes to these Terms of Use and to review such changes.
In consideration of your use of the ICT Community Portal, you shall:
> Provide accurate, current and complete information about you as may be prompted by any registration forms on the ICT Community Portal.
> Maintain the security of your password and identification.
> Maintain and promptly update the Registration Data, and any other information you provide to ROOT Technologies, to keep it accurate, current and complete.
> Be fully responsible for all use of your account and for any actions that take place using your account.
> Be solely responsible for the ownership and title to intellectual property rights pertaining to logos, photos, profiles (including your name, company name, and image), messages, notes, text, information, and other content that you upload, publish or display on or through the ICT Community Portal , or share with other users. ROOT Technologies shall not be liable vis-à-vis your organization or any third party with respect to any alleged infringement of third party rights with respect to such submitted material.
> Agree that ROOT Technologies may whether by its own initiative or upon third party request remove any material that may be deemed, pursuant to ROOT Technologies' sole discretion infringing of third party rights or public policy.
> Be solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you post or store on the ICT Community Portal or provide to ROOT Technologies. And you understand and agree that ROOT Technologies may, but is not obligated to, review the ICT Community Portal and may delete or remove (without notice) any Content or User Content in its sole discretion, for any reason or no reason, including User Content which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of users or others.
You agree not to use the ICT Community Portal to:
> Harvest or collect email addresses or other contact information of other users from the ICT Community Portal by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.
> Use the ICT Community Portal in any unlawful manner or in any other manner that could damage, disable, and overburden or impair the Portal.
> Upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable.
> Register for more than one User account, register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any entity.
> Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity.
> Upload, post, transmit, share, store or otherwise make publicly available on the Portal any private information of any third party, including, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers.
> Upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
> Intimidate or harass another.
> Create a false identity on the ICT Community Portal.
> Upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of ROOT Technologies is objectionable or which restricts or inhibits any other person from using or enjoying the Portal, or which may expose ROOT Technologies or its users to any harm or liability of any type.
Proprietary Rights in the ICT Community Portal Content
All content on the Site and available through the ICT Community Portal whether indicated as protected or not, including designs, text, graphics, pictures, resources, information, other files, and their selection and arrangement, are the proprietary property of ROOT Technologies, or its users with all rights reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or disseminated in any form or by any means, in whole or in part, without ROOT Technologies prior written permission, except that the foregoing does not apply to your own User Content that you post on the ICT Community Portal. Provided that you are eligible for use of the ICT Community Portal, you can use the ICT Community Portal Content and to download or print a copy of any portion of the Site Content to which you have properly gained access solely for your personal use, provided that you keep all copyright or other proprietary notices intact. Except for your own User Content, you may not upload or republish Site Content on any Internet, Intranet or Extranet site.
